注册公司在新加坡的意义

新加坡拥有良好的商业环境、透明的税务制度以及便捷的国际市场，是全球企业设立基地的理想之选。通过遵循以上步骤，您可以轻松完成公司注册，并为未来业务增长奠定坚实基础。

以下为详细步骤，帮助您了解整个流程并顺利注册：

第一步：了解新加坡公司注册的基本要求

在注册公司前，先熟悉新加坡的基本注册条件：

  1. 股东
    • 至少需要一名股东。
    • 股东可以是个人或公司，且不限国籍（本地或外国）。
    • 新加坡私人有限公司的股东人数上限为50人。
    • 允许100%外资持股，即所有股东可以是外国人。
  2. 注册资本
    • 注册公司所需最低资本为1新元。
    • 注册完成后，您可以根据需要追加资本。
  3. 董事
    • 至少需要一名新加坡常驻董事（即新加坡公民、永久居民或持有创业准证/就业准证的外籍人士）。
    • 董事必须年满18岁，且具有完全的法律行为能力。
    • 董事无需是股东，但公司秘书和唯一董事不能是同一人。
    • 若董事为就业准证（EP）持有人，需获得人力部（MOM）的书面同意。
  4. 公司秘书
    • 公司必须在成立后的6个月内任命一位新加坡常驻公司秘书。
    • 公司秘书需具备相关经验，负责确保公司符合法律和监管要求。
    • 这是一个职责（通常由秘书或会计公司担任）而不是一个人。
  5. 注册地址
    • 注册时需提供一个新加坡本地地址作为公司的注册地址。
    • 该地址可以是住宅或商业地址（但不能是邮政信箱）。
    • 若使用住宅地址，需申请家庭办公计划（Home Office Scheme），并获得相关机构批准。通常这个只能用为第一年的公司地址。第二年就要换成商业地址。

第二步：确定公司结构并准备文件

根据您的业务需求，明确公司的结构并准备所需材料：

  • 股东结构：确定股东人数及持股比例。如果是母公司设立子公司，则母公司可作为唯一股东。
  • 董事人选：至少任命一位新加坡常驻董事。
  • 初始资本：大多数企业以少量资本（如100新元）完成注册。

所需材料：

  • 个人股东：
    • 护照复印件（新加坡居民需提供身份证）。
    • 居住地址证明（如水电账单、租赁合同）。
    • 简历或专业背景（可选）。
  • 公司股东：
    • 公司注册证明及营业执照。
    • 公司业务简介，包括股东和高管信息。
    • 董事会决议（授权在新加坡设立子公司）。

第三步：公司名称审批

在注册公司之前，需先为公司选择一个名称并提交审批。以下是快速通过审批的建议：

  • 独一无二：名称不能与现有企业重复或相似。
  • 避免侵权：确保名称未侵犯现有商标或版权。
  • 适当合规：不得包含粗俗或淫秽词汇。

如果名称符合新加坡会计与企业管理局（ACRA）的标准，审批通常可在1小时内完成。
名称一旦获得批准，将保留120天，需在此期间完成公司注册。

第四步：准备和提交注册文件

公司名称获批后，需准备以下文件并提交至ACRA：

  1. 公司章程：可以使用ACRA提供的标准模板或根据需要定制。
  2. 董事同意书：所有董事需签署同意担任公司职务的声明。
  3. 公司秘书同意书：公司秘书需确认接受任命。
  4. 实控人声明：根据ACRA要求，声明公司的最终受益人信息（UBO）。

第五步：完成注册并开设银行账户

提交文件后，即可通过ACRA的BizFile+平台完成在线注册。整个过程通常在1小时内完成。

注册成功后，您将收到以下文件：

  • 电子版注册证书：显示公司名称、成立日期及公司唯一实体号码（UEN）。
  • 企业档案：包括公司组织结构、股东、董事及注册详情。

完成注册后，您可开设公司银行账户并正式开始运营。
